Vanguard Renewables to acquire Generate Upcycle’s North American organic waste-to-energy facilities

Generate Capital is selling its anaerobic digestion platform, Generate Upcycle, through separate transactions involving seven facilities in the U.K. and five in Canada and the U.S.

The infrastructure investor announced in late September that U.K.-based Pinta Energy acquired Upcycle’s seven U.K. facilities, while Vanguard Renewables signed an agreement to acquire its five North American facilities in Ontario and upstate New York.

Upcycle operates anaerobic digestion facilities that process food and agricultural waste to produce renewable natural gas (RNG) and electricity. The platform also provides organic waste management services to public- and private-sector partners across the three countries.

In 2025, Upcycle processed more than 790,000 tonnes of food and agricultural waste and generated more than 365,000 MWh of renewable energy, including 1.1 billion ft³ of RNG.

According to Generate Capital, the Upcycle platform’s operations avoided approximately 609,739 tonnes of carbon dioxide equivalent emissions in 2025, comparable to removing about 132,552 gasoline-powered passenger vehicles from the road for one year.

Generate has invested in anaerobic digestion since 2016, developing Upcycle into a 12-site platform spanning three countries.

“We have spent the past decade building Upcycle into a scaled organic waste platform with strong businesses across three countries,” said David Crane, CEO of Generate Capital, in a statement. “Pinta Energy and Vanguard Renewables bring the experience and capabilities to support these businesses as they continue to grow. For Generate, the transactions allow us to recycle capital toward our strategy of delivering reliable power to large energy users in an increasingly constrained grid.”

Pinta Energy is part of ABIO Group, a pan-European biogas platform backed by infrastructure investment firm Asterion Industrial Partners.

Vanguard Renewables is a U.S.-based environmental services company that produces biomethane from organic waste.

Generate, founded in 2014, invests in and operates energy infrastructure, with an increasing focus on supplying electricity to data centres and other power-intensive facilities. The company reports having raised more than $16 billion in capital since its inception.

The North American transaction was expected to close October 1, 2026. Financial terms of the transactions were not disclosed.
